Choosing a payment structure
Structure
Best for
How the contract handles it
Fixed project fee
Well-defined projects with clear deliverables
Total fee, optional deposit before work starts, balance on delivery
Hourly rate
Open-ended work, support and ongoing changes
Rate per hour, invoicing weekly, every two weeks or monthly, optional hour cap that needs approval
Milestone payments
Larger projects that run for several weeks or months
A list of milestones and amounts, each invoiced when reached
Monthly retainer
Ongoing services such as marketing, bookkeeping or maintenance
Fixed monthly amount invoiced in advance; unused time does not roll over
What the key clauses protect
Deliverables and revisions stop scope creep: extra rounds and new requests are billed or quoted separately.
Invoices and payment set a due date, optional late interest and your right to pause work when an undisputed invoice is more than 15 days overdue.
Independent contractor records that you control how you work, use your own equipment and handle your own taxes.
Intellectual property transfers ownership only after full payment, which gives the client a strong reason to pay on time.
Client responsibilities make the schedule move when feedback or materials arrive late.
Termination lets either side end the work with notice while making sure you are paid for what you have done.
Before you send the contract
Use each party's exact legal name; for a company, the name on its registration (for example "Harbor Outdoor Gear, LLC").
Make sure the person signing for a company is authorized to do so.
Attach or reference your proposal or quote if it has more detail on scope.
Keep the signed copy and all written change requests together with your invoices.
Frequently asked questions
What should a freelance contract include?
At minimum: who the parties are, a clear description of the services and deliverables, dates, the price and how it is paid, when invoices are due, who owns the finished work, confidentiality, how either side can end the agreement, and which state's law applies. This generator covers all of these.
Is a freelance contract the same as an independent contractor agreement?
Yes. A freelance contract is usually an independent contractor agreement: it states that the freelancer is not an employee, controls how the work is done, pays their own taxes and does not receive employee benefits.
Does a contract make someone an independent contractor?
No. Labels in a contract help, but tax and labor agencies look at the real relationship, such as who controls the work and hours and whether the person runs their own business. In the US, the IRS and many states use tests based on behavioral control, financial control and the relationship of the parties.
Who owns the work under a freelance contract?
It depends on the contract. With the default option here, the client owns the final deliverables once all fees are paid, while you keep your pre-existing tools and templates. Alternatively you can keep ownership and give the client a license to use the work.
Can I charge interest on late payments?
Often yes, if the contract says so, but the maximum rate is limited by law in many places. The template applies your monthly rate or the highest rate allowed by law, whichever is lower. Some places, such as New York City under its Freelance Isn't Free Act, also give freelancers specific rights to written contracts and timely payment.
Is a contract signed electronically valid?
In the US, the federal E-SIGN Act and state laws based on UETA generally treat electronic signatures as valid for contracts like this one. The agreement includes a counterparts and electronic signature clause. You can sign the PDF with an e-signature tool.
Is this legal advice?
No. It is a general template that works for many small freelance projects. For large contracts, unusual risks, employment questions or work outside the US, ask a lawyer to review it.
